THIS INDENTURE, Made this 19th day of April, 1944, between NEW YORK PROTESTANT EPISCOPAL CITY MISSION SOCIETY, a religious corporation duly incorporated by Chapter 121 of the Laws of 1833, passed April 9, 1833, as last amended by Chapter 86 of the Laws of 1934, passed March 22, 1934, having its principal office at No. 30 Bleecker Street in the Borough of Manhattan, City of New York, party of the first part, and WILTWYCK SCHOOL FOR BOYS, INC., a membership corporation of the State of New York, located at Esopus, in the County of Ulster and State of New York, party of the second part

WHEREAS by petition verified the 5th day of January, 1944, application was made by the party of the first part on the 14th day of January 1944, to honorable Francis Bergan at a Special Term of the Supreme Court of the State of New York held in and for the County of Albany at the County Court House in said County for leave to sell and convey to the party of the second part title in fee simple to the premises hereinafter described; and

WHEREAS by an order dated the 14th day of January, 1944, made by Mr. Justice Bergan and duly entered and filed in the office of the County Clerk of Ulster County on the 17th day of January, 1944, the application of the party of the first part was granted and the party of the first part was authorized to sell and convey and deliver a good and sufficient deed of the premises hereinafter described to the party of the second part for and in consideration of the sum of Ten Thousand (10,000) Dollars;

NOW, THEREFORE, THIS INDENTURE WITNESSETH that the party of the first part for the consideration above mentioned does hereby convey, release, grant, bargain and sell to the party of the second part, its successors and assigns forever, the following described premises.

ALL THAT TRACT OF LAND, in the Town of Esopus, Ulster County and State of New York, bounded and described as follows:

BEGINNING at a point on the westerly side of the State Highway leading from Highland to Kingston, known as Route 9-W adjoining the northeast corner of land now or formerly belonging to Dr. Gordon and a stone wall; thence running along the northerly line of said land now or formerly of Dr. Gordon, the following courses and distances;  North 65º  52' 40" west 112.75 feet; north 67º  21' 30" west 376.99 feet; North 66º  45' 20" west 740.30 feet; north 66º  55' 50" west 237.29 feet to the easterly line of land of the New York Central Railroad Company, formerly West Shore Railroad,  north 66º  55' 50" west crossing said Railroad land 118.30 feet to the westerly line of said Railroad land, north 66º  55" 50" west 3918.23 feet to the northwest corner of said land now or formerly of Dr. Gordon; thence running along the westerly line of said last mentioned land the following course and distances; south 15º  10' 40" west 230.64 feet; south 12º  59' 00" west  287.04 feet; south 15º  31' 50" west 296.25 feet and south 17º  00' 10" west 441.33 feet to the northerly side of the highway known as West Park Road; thence running along the northerly side of said highway known as West Park Road, north 63º  40' 50" west 493.69 feet to the center line of said highway known as West Park Road  the following courses and distances; thence running along the easterly line of said land of Freer north 20º  14' 00" east 721.09 feet and north 50º  48' 50" east 663.12 feet to the corner of two wire fences and the southerly line of land now or formerly of an unknown owner or owners; thence running along the southerly line of said last mentioned land and along the southerly line of land formerly of Samuel Elmore, south 69º  05' 20" east 3902.47 feet to the southeast corner of said land formerly of Elmore at the end of a stone wall; thence running along the easterly line of said last mentioned land north 10º  16' 00" west 204.05 feet and north 3º  56' 40" east 566.29 feet to a corner of two wire fences and land now or formerly of unknown owners; thence running along said last mentioned land south 04º  01' 10" east 607.45 feet to a corner of said land and thence along the easterly line of said land the following courses and distances:  North 16º 13' 40" east 66.31 feet; north 15º  14' 00" east 199.84 feet; north 1`4º  42' 30" east 102.36 feet and north 15º  20' 20" east 112.58 feet to a corner of two wire fences and land now or formerly of unknown owners; thence running along said last mentioned land south 88º  12' 450" east 91.06 feet to the westerly line of land of the New York Central Railroad company, formerly West Shore railroad; thence running south 88º  112' 40" east still along said last mentioned land of unknown owners, 195.35 feet to a corner thereof; thence running still along said last mentioned land north 3º  42' 00" east 41.05 feet; thence running along the southerly line of said last mentioned land and part of the way along the center of said stone wall south 73º  27' 20" east 81.72 feet and south 77º  27' 10" east 407.73 feet to the westerly side of the State highway from Highland to Kingston, known as Route 9-W; thence running along the westerly side of said State Highway leading from Highland to Kingston, known as route 9-W, south 6º  31`' 10" west 172 feet and south 15º  57' 30" west 218.07 feet to a corner of land formerly of Pell, now or formerly of Beatty and occupied by Berringer Service Station and a stone wall; thence running along the westerly line of said last mentioned land and along the center line of said stone wall south 35º  44' 30" west 101.35 feet and south 33º  32' 20" west 253.79 feet to the center line of the former road connecting Routh 9-W with the Old Post Road and now said to be abandoned; thence running along the center line of said road, now said to be abandoned, and still along said land formerly of Pell, now or formerly of Beatty, south 48º  17' 40" east 100 feet and south 10º  31' 20" east 105.57 feet to the westerly side of said State Highway leading from Highland to Kingston, known as Route 9-W thence running along the westerly side of said State Highway, known as Route 9-W, south 10º  07' 30" west 206.66 feet to the center line of the Old Post Road, south 1º  21' 30" west 134.19 feet; south 5º  09' 00" west  875.20 feet and south 1º  04' 00" west 42 feet to the northeast corner of the Ascension Church Cemetery and a stone wall; thence running along the northerly line of said Ascension Church cemetery and the center line of said stone wall north 81º  37' 00" west 347.19 feet to the northwest corner of said cemetery and another stone wall; thence running along the westerly line of said Ascension Church Cemetery and along the center line of said stone wall south 24º  56' 30" west 102.78 feet and south 1º  29' 00" west 113.26 feet to the southwest corner of said Ascension Church Cemetery and another stone wall; thence running along the southerly line of said Cemetery and the center line of said stone wall south 81º  57' 20" east 307.46 feet to the westerly side of the State Highway leading from Highland to Kingston, known as Route 9-W the following courses and distances:  South 1º  30' 00" west 216.27 feet; south 4º  02' 00" west 500.20 feet; south 6º  39' 00" east 151.90 feet; south 4º  28' 10" east 61.34 feet; south 16º  51' 00" east 26.84 feet and south 20º  41' 00" east 862.05 feet to the point of beginning.

EXCEPTING, however, from the premises hereinabove described all that portion thereof which is included within the property of the New York Central Railroad Company and heretofore conveyed to West Shore Railroad Company and more particularly bounded and described as follows:

BEGINNING at a point in the northerly line of said land now or formerly of Dr. Gordon distant as measured along same north 65# 52' 40" west 112.75 feet; north 67# 21' 30" west 376.99 feet; north 66# 45' 20" west 740.30 feet and north 66# 55' 50" west 237.29 feet from the westerly side of the State highway leading from Highland to Kingston, known as Route 9-W; thence running the following courses and distances for the easterly line of said Railroad land north 9# 17' 00" west 457.06 feet northwesterly on a curve to the right having a radius of 1302.7 feet a distance of 663.65 feet north 18# 13' 00" east 883.00 feet northerly on a curve to the left having a radius of 2914.9 feet a distance of 543.34 feet and north 7# 32' 00" east 405.68 feet to the southerly line of land now or formerly of unknown owner; thence running along the same north 88# 12' 40" west about 100 feet to the westerly line of said Railroad land; thence running the following courses and distances for the westerly line of said land of the New York Central Railroad Company south 7# 32' 00" west 395.61 feet southerly on a curve to the right having a radius of 2814.9 feet a distance of 524.70 feet south 18# 13' 00" west 883 feet southeasterly on a curve to the left having a radius of 1482.7 feet a distance of 711.64 feet and south 9# 17' 00" east 393.71 feet to the northerly line of said land now or formerly of Dr. Gordon, and thence running along same south 66# 55' 50" east 118.38 feet to the point of beginning.  The foregoing description is in accordance with the survey made by Frank S. Hopkins and Robert A Monell, Surveyors, dated February 1944.

EXCEPTING  also a lot containing one half of an acre conveyed by the party of the first part to the Church of the Ascension by deed dated April 8, 1941, and recorded in the office of the County Clerk of Ulster County in Liber 616 of Deeds, page 592

TOGETHER with all the right, title and interest of the party of the first part in any other real property now owned by it in the Town of Esopus, lying on the westerly side of the State Highway leading from Highland to Kingston known as Route 9-W.

TOGETHER with all the right, title and interest of the party of the first part in and to the bed of State Highway 9-W in front of said premises to the centre line thereof, and all personal property belonging to the party of the first part and now located on the premises above described.

BEING part of the premises conveyed by Harry Payne Bingham and Grace M. Bingham, his wife, to the party of the first part by deed dated the 6th day of April, 1933, and recorded in the office of the County Clerk of Ulster County on the 20th days of April, 1933, in Liber 564 of Deeds, page 340.

TO HAVE AND TO HOLD the above described premises, with the appurtenances unto the said party of the second part, its successors and assigns forever,

AND the party of the first part, in compliance with Section 13 of the Lien Law, hereby covenants that the party of the first part will receive the consideration for this conveyance and will hold the right to receive such consideration as a trust fund to be applied first for the purpose of paying the cost of the improvement and that it will apply the same to the cost of the improvement before using any part of the total of the same for any other purpose.

IN WITNESS WHEREOF the party of the first part has caused these presents to be signed by its President and its corporate seal to be hereunto affixed as of the day and year first above written.
